Terms and Conditions

These Terms and Conditions ("Terms") govern the provision of digital marketing and related services ("Services") by [Epicurean.Co] ("Agency," "we," "us," or "our") to the client identified in an applicable proposal, statement of work, or service agreement ("Client," "you," or "your"). By engaging our Services, you agree to be bound by these Terms.

1. Scope of Services

1.1 Services may include, but are not limited to, digital marketing strategy, branding, graphic design, social media management, content creation, email marketing, search engine optimization (SEO), search engine marketing (SEM), paid advertising, website-related services, analytics, and consulting.

1.2 The specific scope, deliverables, timelines, and fees will be set forth in a written proposal, statement of work ("SOW"), or service order (collectively, the "Agreement"). In the event of a conflict, the Agreement will control.

1.3 Any services not expressly included in the Agreement are out of scope and may require a separate written agreement or change order.

2. Client Responsibilities

2.1 Client shall provide timely access to required information, content, approvals, accounts, and decision-makers necessary for performance of the Services.

2.2 Client represents and warrants that all materials provided (including text, images, trademarks, and data) are owned by Client or properly licensed, and do not infringe the rights of any third party.

2.3 Client acknowledges that delays or failures to provide required materials or approvals may impact timelines and results.

3. Payment, Deposits, and No Refund Policy

3.1 Deposit Required. A full deposit is required before any services begin unless otherwise agreed in writing.

3.2 No Refunds. All payments, including deposits, retainers, and fees, are final and non-refundable for any reason.

3.3 Late Payments. Any unpaid balance, including failure to pay the full required deposit, will incur interest at a rate of 25% per month until paid in full, to the maximum extent permitted by law.

3.4 Suspension of Services. Services may be suspended or terminated at Epicurean.Co discretion for non-payment.

3.5 Termination After One Year. Accounts with unpaid balances that remain outstanding for twelve (12) consecutive months are subject to automatic termination. All outstanding balances and accrued interest remain due.

6. Confidentiality

6.1 Each party agrees to keep confidential any non-public, proprietary, or confidential information received from the other party and to use such information solely for purposes of performing under the Agreement.

6.2 Confidentiality obligations do not apply to information that is publicly available through no fault of the receiving party or required to be disclosed by law.

7. Term and Termination

7.1 The term of Services will be as specified in the Agreement.

7.2 Either party may terminate the Agreement for material breach upon written notice if such breach is not cured within [7] days.

7.3 Termination for Non-Payment or Inactivity. We may terminate Services immediately upon written notice if Client fails to make required payments, including deposits, or remains inactive or unresponsive for an extended period.

7.4 Automatic Termination After One Year. If Services are suspended due to non-payment and remain unpaid for a continuous period of twelve (12) months, the Agreement and Services shall be deemed terminated. Any outstanding balances, including accrued interest, shall remain due and payable.

7.5 Upon termination, Client shall pay Epicurean.Co for all Services performed, expenses incurred, and accrued interest up to the effective date of termination.

8. No Refund Policy

8.1 All Sales Final. All fees, deposits, retainers, and payments made to Epicurean.Co are non-refundable, regardless of whether Services are completed, delayed, suspended, or terminated.

8.2 Client acknowledges that Epicurean.Co reserves time, resources, and capacity upon engagement, and therefore no refunds or credits will be issued for any reason, including but not limited to dissatisfaction with results, changes in business circumstances, or early termination by Client.

9. Performance Disclaimer

8.1 Epicurean.Co does not guarantee specific results, including but not limited to sales, revenue, rankings, engagement, or return on investment. Results may vary based on numerous factors outside Agency’s control.

9. Warranties and Limitation of Liability

9.1 Epicurean.Co warrants that Services will be performed in a commercially reasonable manner consistent with industry standards.

9.2 To the maximum extent permitted by law, Epicurean.co shall not be liable for any indirect, incidental, consequential, special, or punitive damages.

9.3 Epicurean.Co's total liability arising out of or related to the Services shall not exceed the total fees paid by Client to Epicurean.Co in the [ three (3)] months preceding the claim.

10. Indemnification

10.1 Client agrees to indemnify and hold harmless Epicurean.Co from any claims, damages, liabilities, costs, and expenses arising out of Client-provided materials, instructions, or misuse of the deliverables.

11. Independent Contractor

11.1 Epicurean.Co is an independent contractor and nothing in these Terms shall be deemed to create a partnership, joint venture, or employment relationship.

12. Governing Law and Dispute Resolution

12.1 These Terms shall be governed by and construed in accordance with the laws of the State of [North Carolina], without regard to conflict of law principles.

12.2 Any disputes arising under these Terms shall be resolved in the courts located within [Guilford County/North Carolina], unless otherwise agreed in writing.

13. Force Majeure

13.1 Neither party shall be liable for failure or delay in performance due to events beyond reasonable control, including acts of God, natural disasters, labor disputes, or governmental actions.

14. Amendments

14.1 Epicurean.Co may update these Terms from time to time. Updated Terms will apply to ongoing Services upon written notice or posting on Epicurean.Co's website, as permitted by law.

15. Entire Agreement

15.1 These Terms, together with any applicable Agreement, constitute the entire understanding between the parties and supersede all prior agreements or understandings.
